摘要:历史上作为企业的初级形式的中小企业曾经是微观经济组织的主要形态。大规模的企业出现后，中小企业一度退缩到了填补大企业空缺的位置。然而，社会的进步并没有将小规模企业挤出历史舞台，在新技术，新经济条件下，中小企业又出现了质的飞跃，其在经济体系中发挥的作用越来越大。经济力不断增加，地位不断提升，中小企业重新成为经济活动中被关注的研究对象。

　　中小企业的生存和发展不仅危及企业自身的利益，而且对经济的持续稳定发展也会产生重大影响。为了优化企业的资本结构，提高社会的资源配置，必须对中小企业进行债务重组。通过债务重组，使企业减轻包袱，继续经营。债务重组能让企业避免破产清算，能让企业有新生的机会。

Abstract:History as the primary form of the enterprise of small and medium-sized enterprises, which used to be the main forms of microeconomic organization. The scale of the enterprise appearing, small and medium-sized enterprise once retreated to fill the position of the big enterprise vacancy. However, the progress of the society and no small enterprise extrusion will stage of history, in the new technology, the new economy, small and medium-sized enterprise and appear a qualitative leap, the economic system in the role of is more and more big. Growing economic power, stature, the small and medium-sized enterprise again become economic activities to be concerned object of study.

In order to optimize enterprise's capital structure, improve social allocation of resources, to small and medium enterprises must be debt restructuring. Through the debt restructuring, causes the enterprise to reduce the burden, continue to operate. Debt restructuring can let companies avoid bankruptcy liquidation, can let the enterprise have new chance.

企业债务重组效果如何对企业自身（债务人），对债权人和投资人都将产生重要影响。

　　对债务人来说，债务重组的最直接目的是为企业创造价值，这显然对企业自身或者债务人有益或有利。因为通过各种形式的债务重组，对高负债企业可降低负债率，降低风险和提高支付能力；对低负债企业则可通过债务重组加大财务杆杠作用效果。因此，重组企业或债务人通过债务重组将有利于增加收益，降低风险。对债权人来说，企业债务重组过程也是债权人权衡收益与风险的过程。债权人通过不同的债务重组方式的比较将选择最有利于自身风险与收益均衡的方式。企业债务重组中如果没有债权人的配合或参与是不可能进行下去的。债权人的利益在债务重组中是首先要得到保障的。对投资人来说，企业债务重组无论对企业的所有者还是潜在投资者同样具有重要意义。对已有的企业所有者，企业债务重组优化了资本结构，必将对其收益和风险都带来有利影响。对于潜在投资者，债务重组将增强其对企业的投资信心。
