摘要:公司僵局是公司运营过程中内部矛盾激化的一种极致表现,公司的运营陷入瘫痪,不仅股东的收益权落空,公司债权人、管理层、雇员等相关主体的利益也无从保证。我国有限责任公司公司僵局制度虽然已经取得了实质性的进展。但是,立法及公司治理实践中仍然存在诸多不尽人意的现象,如公司僵局预防措施未得到应有的重视,公司僵局的自力救济及司法救济措施还比较僵化,缺乏灵动性,对公司僵局的处理方式比较粗放等。本文从比较法的视角,对各主要国家的法律规定和司法实践进行比较,结合我国的司法实践和理论成果,对我国构建解决公司僵局制度提出了具体的若干建议。 关键词:公司僵局;事前预防;事后救济
Abstract:Corporate deadlock is an ultimate expression of the intensification of internal contradictions in operation process, which may lead the operation to a standstill, and once it occurs, not only the usufructs of the shareholders will come to nothing, but also the interests of the creditors of the company, management, employees and other related subjects will be unable to be guaranteed. The deadlock system of limited liability corporate in China has been substantially improved, but there are still many unsatisfactory phenomena in legislation and corporate governance practice, such as corporate deadlock prevention measures receiving insufficient attention, the self-help system and judicial relief measures of corporate deadlock being relatively rigid and lacking of flexibility, and the handling mode of corporate deadlock being relatively extensive. In the perspective of comparative law, the author of this paper compares legal provisions and judicial practices of major countries, and combines China's judicial practice and theoretical results to put forward a number of specific recommendations on the establishment of the system of solving corporate deadlock in China. 公司僵局是指公司运行中的一种异常状态,这种状态往往表现为由于股东或董事之间发生纠纷,且彼此不愿妥协而处于僵持状态,公司机构不能按照法定程序作出决策,从而使公司陷入无法正常运转,甚至瘫痪的状态。新公司法有关公司僵局的规定在一定程度上填补了公司僵局的立法空白,对处理实践中的公司僵局问题具有重大意义。但是我国关于解决公司僵局的法条仍然存在含混不清,规定不明,措施不够完善以及解散类型单一等问题。本文通过对国外几种比较常用的预防与救济措施的考察和分析,并结合我国实际,对于我国公司僵局制度的完善提出了自己的见解,以期对我国公司僵局制度的发展有些许助益。
